Terms of Service

Please read these terms carefully before using Topzalt. By creating an account or using any part of the platform, you confirm that you have read, understood, and agreed to be bound by these Terms of Service. If you do not agree, do not use Topzalt.

1. Who We Are

Topzalt is an operational integrity software product developed and operated by AdaDid, a business owned by Nnanna Uma, with primary contact at studio@umanographics.com and phone 08038158125. The platform is accessible at topzalt.adadid.com and associated subdomains.

References to "Topzalt", "we", "us", or "our" in these Terms refer to AdaDid and its operators. References to "you", "client", or "subscriber" refer to any individual or business entity that creates an account or uses the platform.

3. Account Registration and Workspace

When you sign up, you create a Workspace — a private environment for your business. You are responsible for:

We reserve the right to suspend or terminate any account that provides false information, violates these Terms, or is used in a manner that harms other users or the platform.

4. Subscription, Billing, and Payment

4.1 Plans and Fees

Topzalt is offered on a subscription basis (monthly or annual) and as a one-time licence purchase. Current pricing is published on the Pricing page at topzalt.adadid.com. Prices are quoted in Nigerian Naira (₦) and are inclusive of any applicable taxes unless stated otherwise.

4.2 Free Trial

New subscribers receive a 14-day free trial on all plans. No payment is required to start. At the end of the trial period, your account will be paused unless you provide valid payment details and activate a paid plan. No charges are made during the trial without your explicit consent.

4.3 Billing

For monthly subscriptions, billing occurs on the same calendar date each month. For annual subscriptions, billing occurs once per year on the anniversary of your subscription date. You authorise us to charge the payment method on file for all amounts due.

4.4 Token Balance

Topzalt operates on a token-based usage model. Token allowances are assigned per plan and reset monthly on your billing date. Unused tokens do not carry over between billing periods. If your token balance reaches zero, token-dependent features will be suspended until your next billing cycle or until you top up manually.

4.5 Refunds

We do not offer refunds on subscription fees already paid except where required by applicable Nigerian consumer protection law, or where we have materially failed to deliver the service. Refund requests must be submitted within 7 days of the charge in question to studio@umanographics.com. We will respond within 5 business days.

4.6 Price Changes

We may change our pricing at any time. We will provide at least 30 days' written notice of any price increase to active subscribers via email. Continued use of the platform after the effective date of a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree to use Topzalt only for lawful business purposes. You must not:

6. Staff Accounts and Data

As a Workspace owner, you are solely responsible for:

We are not a party to any employment or contractual relationship between you and your staff. Any disputes arising from the use of Topzalt data in employment contexts are entirely your responsibility.

7. Intellectual Property

All software, design, code, content, trademarks, and materials comprising the Topzalt platform are the exclusive intellectual property of AdaDid and are protected under applicable Nigerian and international intellectual property law.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your internal business operations during the period of your active subscription or licence.

Your business data — including transaction records, staff activity logs, and service configurations — remains your property. We do not claim ownership over your data. See Section 9 (Data and Privacy) for further details.

8. Service Availability and Uptime

We strive to maintain platform availability at all times but do not guarantee uninterrupted access. The platform may be unavailable for scheduled maintenance, emergency repairs, or reasons beyond our control including network outages, power failures, or force majeure events.

Topzalt is designed with offline-first operation for floor and operator functions. Core token verification and issuance will continue to function on-device when internet connectivity is unavailable, with synchronisation occurring automatically upon reconnection.

We are not liable for any loss of revenue, data, or business opportunity caused by platform unavailability.

9. Data and Privacy

We collect and process data as described in our Privacy Policy, which forms part of these Terms. By using Topzalt, you also agree to our Privacy Policy.

Your Workspace data — including transaction records and staff activity — is stored securely and is not sold, shared, or disclosed to third parties except as described in the Privacy Policy or as required by law.

10. Limitation of Liability

To the fullest extent permitted by Nigerian law:

You agree to indemnify, defend, and hold harmless AdaDid, its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or relating to: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any dispute between you and your staff arising from data collected through Topzalt.

12. Termination

12.1 By You

You may cancel your subscription at any time from your account settings or by contacting us at studio@umanographics.com. Cancellation takes effect at the end of your current billing period. You retain access to your Workspace and data until that date.

12.2 By Us

We may suspend or terminate your account immediately and without notice if you materially breach these Terms, engage in fraudulent activity, or use the platform in a manner that harms other users or the platform's integrity. We may also terminate accounts with 30 days' notice for any other reason.

12.3 Effect of Termination

Upon termination, your access to the platform will cease. You may request an export of your Workspace data within 30 days of termination. After 30 days, we reserve the right to permanently delete your data from our servers.

13. Changes to These Terms

We may update these Terms at any time. We will notify active subscribers of material changes via email at least 14 days before the changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you must stop using the platform and cancel your subscription before the effective date.

14. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or related to these Terms or the platform shall first be attempted to be resolved through good-faith negotiation between the parties. If resolution cannot be reached within 30 days, the dispute shall be submitted to the appropriate courts in Abuja, Nigeria, which shall have exclusive jurisdiction.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AdaDid with respect to the Topzalt platform and supersede all prior agreements, representations, and understandings, whether written or oral.
